CONFLICT OF INTEREST

AI Edge Academy is committed to maintaining the highest standards of integrity, transparency, and ethical conduct. All Board members, administrators, and employees must avoid any conflict—actual or perceived—between their personal interests and their responsibilities to the School.

Conflict of Interest Requirements

Disclosure Obligations

All individuals covered by this policy must:

  • Immediately disclose any actual, potential, or perceived conflicts of interest
  • Submit an annual written conflictofinterest statement
  • Provide updated disclosures whenever circumstances change

Prohibition on Personal Financial Benefit

No Board member, administrator, or employee may:

  • Receive personal financial gain from School contracts, programs, or decisions
  • Use their position for personal benefit or the benefit of family members
  • Participate in School transactions that create or appear to create improper financial influence

Restrictions Involving Family Members

To maintain fairness and prevent undue influence:

  • Individuals may not directly supervise, evaluate, or approve compensation for family members
  • Family employment relationships must be reviewed and approved according to Board policy and applicable law

Abstention from DecisionMaking

When a conflict exists or may reasonably appear to exist:

  • Board members must abstain from discussion and voting
  • Administrators and employees must remove themselves from decisionmaking authority related to the conflict
  • All abstentions must be recorded in meeting minutes

Board Member Responsibilities

Board members specifically must:

  • Disclose all potential or actual conflicts
  • Abstain from votes involving conflicts
  • Avoid personal gain or benefit from School decisions

Violations may result in removal from the Board.

Consequences for Violations

Failure to comply with this policy—whether through nondisclosure, inappropriate involvement, or personal benefit—may result in:

  • Corrective or disciplinary action
  • Removal from leadership roles or committees
  • Termination of employment
  • Removal from the Board of Directors, consistent with bylaws
  • Any actions required by state or federal law

Policy Oversight

This policy is adopted by formal action of the Board of Directors.

It remains in effect until amended or rescinded through Board action.

The Board reviews this policy as part of the School’s annual governance review cycle.
